Terms of Service

These Terms of Service ("Terms") govern access to and use of the business-to-business lead generation and distribution platform operated by Jonas Lindemann, Heinrich Böll Str. 40, 21335 Lüneburg, Germany ("Operator", "we", "us", or "our").
By accessing or using the platform, creating an account, or purchasing credits, you ("Customer", "you") agree to be bound by these Terms. If you do not agree, you may not use the service.
Use of the service is also subject to the Operator's Privacy Policy, Lead Privacy Policy, and Agency Privacy Policy, each as applicable.
1. Scope of Service
1.1 The Operator provides a business-to-business lead generation and distribution platform that allows invited customers to access and unlock contact details of potential business leads generated by the Operator ("Leads").
1.2 The Operator is the sole generator of all Leads available on the platform. The service enables the distribution of Leads to selected business customers in accordance with these Terms and the applicable privacy policies.
1.3 Access to the platform is invite-only and granted at the sole discretion of the Operator.
1.4 The service is intended exclusively for business users, including agencies and freelancers acting in a professional or commercial capacity. Consumers are not permitted to use the platform.
2. Eligibility and Account Access
2.1 You must be at least 18 years old and acting in a professional or commercial capacity.
2.2 You may use the platform as a company or as a self-employed individual.
2.3 You must provide accurate, complete, and up-to-date information at all times.
2.4 Each account is issued on a per-company basis. You are responsible for all activity carried out using your account credentials.
2.5 The Operator may revoke, suspend, or deny access if you violate these Terms or applicable law.
3. Leads and Lead Data
3.1 Leads are generated through inbound marketing activities and may be manually reviewed by the Operator.
3.2 Each Lead is exclusive and made available to one Customer only.
3.3 Leads may include business contact information, including personal names, business email addresses, and business phone numbers.
3.4 Leads that are not unlocked expire after two (2) days and are removed from availability.
3.5 Once unlocked, Leads do not expire. However, the Operator makes no guarantees regarding future accuracy, availability, responsiveness, or suitability.
3.6 The Operator does not guarantee that:
- a Lead will respond,
- a Lead will be interested in your services,
- a Lead will convert into a customer,
- a Lead will meet your subjective expectations.
4. Credits System
4.1 Access to Lead contact details requires the use of prepaid credits.
4.2 Credits are sold in one-time purchase packages. Pricing may vary based on package size.
4.3 Credits:
- have no cash value,
- are not legal tender,
- are not stored value,
- represent a limited license to unlock Lead data.
4.4 Credits expire six (6) months after purchase.
4.5 Credits are non-transferable and may only be used by the account holder.
4.6 Once a credit is used to unlock a Lead, it is consumed and cannot be reused.
5. Refunds and Disputes
5.1 Customers may dispute a Lead if the contact details are materially incorrect or invalid.
5.2 If the Operator confirms that a Lead is invalid, the corresponding credits will be refunded.
5.3 No refunds or credits will be issued if:
- the Lead does not respond,
- the Lead declines an offer,
- the Lead chooses not to proceed with the Customer.
5.4 Payments are otherwise non-refundable.
6. Payments and Taxes
6.1 Prices are stated in United States Dollars (USD).
6.2 Prices exclude taxes, duties, or similar governmental charges.
6.3 Customers are solely responsible for determining and paying any applicable taxes.
6.4 Payments are processed via Stripe. The Operator does not store payment card or bank details.
6.5 Chargebacks or payment reversals may result in immediate suspension or termination of access.
7. Permitted and Prohibited Use
7.1 Customers may contact Leads via email or phone only within the scope of the Lead's request and any consent provided at the time of data collection.
7.2 Customers must not:
- send spam or unsolicited bulk communications,
- use robocalls or automated calling systems,
- send cold SMS messages or messaging app communications without explicit user consent,
- resell, share, sublicense, disclose, or otherwise make Lead data available to any third party, subcontractor, or affiliate without valid user consent and prior written authorization from the Operator.
7.3 Customers are solely responsible for ensuring compliance with all applicable laws and regulations, including but not limited to GDPR, CAN-SPAM, TCPA, CASL, PECR, and other local marketing and data protection laws.
8. Data Protection
8.1 The Operator acts as the data controller for Lead data prior to disclosure.
8.2 Upon unlocking a Lead, the Customer receives the Lead data and acts as an independent data controller for its subsequent processing.
8.3 Customers must process Lead data lawfully, securely, and in accordance with applicable data protection laws.
8.4 Customers must maintain a publicly accessible privacy policy and confirm compliance measures as required by the Operator.
8.5 The Customer acknowledges that Leads were informed at the time of data collection that their data may be shared with a selected business partner for the purpose of responding to their request.
8.6 The Operator may provide consent or usage metadata with Leads. Customers agree to respect such limitations when using Lead data.
9. Intellectual Property
9.1 The platform, software, branding, and content are the exclusive property of the Operator.
9.2 Customers receive a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms.
9.3 Reverse engineering, scraping, automated extraction, or systematic harvesting of data is prohibited.
10. Suspension and Termination
10.1 Customers may terminate their account at any time by contacting the Operator.
10.2 The Operator may suspend or terminate access if the Customer violates these Terms, applicable law, or uses Lead data in a non-compliant manner.
10.3 In case of termination due to breach:
- access is revoked,
- unused credits are refunded via the original payment method,
- re-registration may be prohibited.
11. Disclaimer of Warranties
11.1 The service and all Leads are provided "as is" and "as available".
11.2 The Operator disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
12.1 The Operator shall not be liable for:
- lost profits,
- loss of business,
- indirect or consequential damages,
- reputational harm.
12.2 The Operator's total liability shall not exceed the fees paid by the Customer in the twelve (12) months preceding the claim, capped at USD 5,000.
13. Indemnification
13.1 The Customer agrees to indemnify and hold harmless the Operator from any claims, damages, fines, penalties, or expenses arising from:
- misuse of Leads,
- violation of applicable laws,
- data protection or privacy violations,
- spam or marketing complaints.
14. Changes to the Service or Terms
14.1 The Operator may modify these Terms from time to time.
14.2 Continued use of the platform after changes constitutes acceptance of the updated Terms.
15. Pre-Litigation Notice
15.1 Before initiating legal proceedings, the Customer must notify the Operator in writing and allow thirty (30) days to resolve the issue.
16. Governing Law and Jurisdiction
16.1 These Terms are governed by the laws of the Federal Republic of Germany.
16.2 Exclusive jurisdiction lies with the courts of Germany.
16.3 The contractual language is English.
17. Class Action Waiver
17.1 Customers agree to bring claims only in their individual capacity and waive participation in class or representative actions, to the extent permitted by law.
18. Survival
18.1 Provisions relating to liability, indemnification, intellectual property, dispute resolution, and governing law shall survive termination.
19. Entire Agreement
19.1 These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings.
